Our client, a global consulting firm, is seeking an ambitious and highly motivated Director, IPO Readiness with deep experience in Capital Markets projects and financial advisory in Riyadh, KSA.
The ideal candidate will have hands‑on expertise in IPO readiness, bond issuances, financial reporting, and regulatory compliance, including prospectus preparation and review.
Key Responsibilities
- Lead comprehensive IPO readiness assessments and develop the client’s IPO roadmap , including timelines, workstreams, and resource planning.
- Act as the primary point of contact for clients, bankers, auditors, and legal counsel throughout the IPO process.
- Advise leadership on market positioning, listing options, regulatory expectations, and transaction considerations.
- Drive due diligence preparedness and ensure organizational alignment across functions.
Financial & Regulatory Preparedness
Guide clients in meeting financial reporting requirements (IFRS, US GAAP, SEC, or local GAAP).Oversee the preparation of historical financials , MD&A sections, and IPO prospectus content.Lead SOX readiness , internal controls strengthening, and financial process transformation.Work with auditors to ensure timely completion of audits and review engagements.Corporate Governance & Compliance
Design and implement governance frameworks suitable for a public‑listed environment.Support establishment of board committees, charters, disclosure procedures, and risk management frameworks.Advise on compliance with exchange listing requirements and regulatory filings.Operational Transformation
Evaluate and improve client processes, systems, and reporting capabilities to support public company operations.Collaborate with technology and finance transformation teams to implement automation and reporting improvements.Ensure integration of ESG and sustainability reporting requirements where relevant.Investor Relations & Story Building
Support clients in shaping their equity story , value proposition, and investor‑facing messaging.Guide development of investor presentations, roadshow materials, and public communications strategies.Prepare executive teams for investor Q&A, analyst interactions, and post‑IPO expectations.Post‑IPO Transition
Assist clients with quarterly reporting cycles, disclosure requirements, and ongoing governance and compliance.Provide advisory support on enhancing performance management, controls, and shareholder communications post‑listing.Required Experience & Qualifications
Strong experience in capital markets advisory, transaction advisory, audit, or finance transformation.Prior experience leading or advising on IPO transactions, preferably with Big 4 or top‑tier consulting exposure.Strong understanding of financial reporting frameworks, internal controls, corporate governance, and regulatory compliance.Proven ability to manage complex, multi‑stakeholder programs and deliver high‑quality outcomes under tight timelines.Preferred Credentials
Professional qualifications such as CA, CPA, CFA, or ACCA preferred.Seniority Level
