Governance and Corporate Affairs Manager (Saudi National)
Our client, a leading Construction company is looking for a Governance and Corporate Affairs Manager (Saudi National) to be based in Riyadh, Saudi Arabia.
Department : Legal, Compliance and Governance
Role Purpose : The Governance and Corporate Affairs Manager is responsible for developing, implementing, and overseeing effective governance frameworks across the Holding and its subsidiaries. The role ensures compliance with legal and regulatory requirements, strengthens corporate accountability, and supports transparent decision-making to build stakeholder trust within a complex, multi-business environment.
Reporting Lines :
Direct Reporting Relationships : Group Chief Legal Officer (GCLO)
Duties Performed : Governance Framework
- Lead the review, development, and implementation of the Group’s corporate governance framework.
- Advise subsidiaries on governance and corporate affairs matters, under the guidance of the GCLO.
- Draft, update, and maintain governance policies, delegation of authority, and procedures.
Compliance & Risk Oversight
Ensure compliance with all applicable laws, regulations, and industry standards.Monitor emerging regulatory requirements and recommend enhancements.Identify, assess, and mitigate governance-related risks.Reporting & Documentation
Prepare and present governance-related reports to executive leadership and the Board.Maintain corporate records, statutory registers, and minute books.Ensure accurate and timely filing of statutory documents and regulatory disclosures.Stakeholder Engagement
Liaise with internal departments to coordinate governance and compliance requirements.Engage with external auditors, regulators, and industry associations.Provide governance support to Board and executive leadership.Training & Support
Facilitate internal and external audits related to governance and compliance.Provide insights into the best practices and emerging governance trends.Deliver guidance and awareness sessions on governance practices across subsidiaries.JOB SPECIFICATIONS
Necessary Knowledge and Experience :
Minimum 5–10 years of experience in governance and corporate affairs, preferably in Saudi Arabia or the Middle East.Strong background in construction, real estate, or other regulated industries.Education and Certification Minimum Requirements :
Bachelor’s degree in Law, Business Administration, Corporate Governance, or related field.Master’s degree or professional qualification (e.g., ICSA, CPA, CIA) is an advantage.Job Specific Technical Skills :
Strong understanding of corporate governance frameworks and board operations.Proficient in governance management systems, board portals, and record-keeping tools.Excellent research, analytical, and problem-solving skills.Strong communication and interpersonal skills (Arabic and English).Ability to manage multiple stakeholders and deadlines in a diversified group structure.Seniority level
