The Senior Director of Transaction and Contract Management is responsible for overseeing the end-to-end commercial, transactional, and contractual frameworks that underpin the transport business unit’s projects and strategic partnerships. This role ensures that all transactions and contracts are collaboratively structured, negotiated, executed, and managed in alignment with the organization’s strategic, financial, and operational objectives—supporting the delivery of sustainable, customer excellence, driven, efficient, and high-quality transport services within a rapidly developing urban environment.
Key Responsibilities
Transaction Management
Lead the development and collaborative execution of major commercial transactions, including Public-Private Partnerships (PPP), joint ventures, concessions, and other procurement models across a multi mode ecosystem.
Drive transaction strategy and financial modeling to ensure alignment with business plans and funding frameworks.
Lead and collaborate with due diligence, stakeholder engagement, and approval processes for large-scale transport infrastructure and service project delivery, setting the standard for the business unit and the adoption by modal project.
Oversee coordination with legal, financial, and technical advisors throughout transaction lifecycles.
Contract Management
Establish and maintain robust contract management systems and governance frameworks for the TBU .
Oversee contract negotiation, execution, monitoring, and dispute resolution processes.
Ensure compliance with contractual obligations, performance metrics, and risk management standards in the service delivery of each mode.
Drive consistency and transparency across contract documentation and performance evaluation.
Strategic Leadership
Provide senior leadership to the Transaction and Contract Management function fostering a culture of accountability, innovation, and collaboration.
Align transaction and contract strategies with the wider transport business unit’s vision and strategic objectives, aligning these to the city value propositions and objectives.
Build and maintain strong relationships with government entities, investors, operators, and other key stakeholders.
Financial and Risk Oversight
Identify, assess, and mitigate commercial, financial, and contractual risks across projects.
Oversee cost control, revenue assurance, and value-for-money analyses for all transactions.
Support long‑term financial sustainability of the transport business unit through optimized deal structures and contract lifecycle management.
Governance and Compliance
Ensure adherence to organizational policies, national regulations, and international best practices in procurement, contracts, and transactions.
Lead continuous improvement initiatives to enhance transparency, efficiency, and accountability within the function.

Qualifications & Experience
Bachelor’s degree in business, Finance, Law, Engineering, or a related field; master’s degree preferred.
Minimum of 15 years’ experience in transaction management, contract administration, or commercial management within large‑scale infrastructure or transportation sectors.
Proven track record of leading multi‑billion‑riyal (or equivalent) deals and complex contractual frameworks.
Strong understanding of PPP frameworks, investment modeling, and risk allocation in public infrastructure projects.
Experience working in developing or emerging city environments, ideally within government or quasi‑government entities.
