We are currently seeking a Corporate Counsel with expertise in general commercial and corporate governance to join their team. This role offers a challenging and sophisticated in-house opportunity.

As the Corporate Counsel, you will be responsible for providing corporate secretarial support to their subsidiary and affiliated entities. This includes serving as the corporate secretary for Their wholly-owned, in-Kingdom subsidiaries.

You will also provide guidance and advice on corporate governance matters and handle a wide range of related issues that arise within a global energy company with numerous subsidiaries, affiliates, and joint ventures.

Experience :

  • Currently licensed, admitted to practice, and in good standing in the United States, Canada, England & Wales, the European Union, or an equivalent jurisdiction
  • 6+ years of experience with a strong law firm, large corporation, or other sophisticated business organisation
  • General corporate experience providing legal advice and support to senior management and / or a board of directors
  • Energy industry (oil and gas, petrochemical, power or oil field services), public company and international experience are a plus
  • Experience in general commercial and corporate governance, preferably in a corporate legal department or law firm
  • Strong knowledge of corporate governance principles and best practices

Responsibilities :

  • Serving as the corporate secretary for their in-Kingdom subsidiaries, ensuring compliance with corporate governance requirements
  • Advising boards of directors and related committees, as well as senior management
  • Organising and managing board meetings, and provide guidance on board authority and corporate governance matters
  • Preparing proxies, powers of attorney, and other governance-related delegations
  • Managing the appointment of board directors, shareholder representatives, and other roles
  • Advising on shareholder issues and facilitate communication between the subsidiary, parent company, and other affiliates
  • Overseeing, utilising, and updating the data set in an entity management system
  • Collaborating with attorneys and legal professionals globally to provide legal and commercial support for various entities within the company
