TwoAtoms Capital is seeking a Head of Private Equity to build, lead, and scale our private equity platform across KSA and the wider Gulf. This executive will own the PE strategy end‑to‑end (fundraising, origination, execution, portfolio value creation, and exits) while partnering closely with our Investment Banking and DCM teams to optimize acquisition financing and exit pathways (including IPOs on Tadawul / Nomu and strategic sales). The role requires a seasoned investor with a strong track record of closed deals and realized exits, deep familiarity with CMA regulations, and the leadership ability to attract, mentor, and retain top talent.
Key Responsibilities
Define and execute the private equity strategy (sector focus, fund size, target returns, risk parameters), aligned with firm objectives and KSA market priorities.
Establish investment policies, valuation frameworks (incl. fair‑value / IFRS), and portfolio governance standards; chair or co‑chair the Investment Committee (IC).
Build the operating model for monitoring value creation and risk, including portfolio dashboards, KPIs, and 100‑day plans post‑close.
Lead PE fundraising and co‑investment processes end‑to‑end : fund structuring (including Sharia‑compliant structures when required), PPM and data room preparation, LP due diligence, and closings.
Manage relationships with LPs (SWFs, pension funds, family offices, institutional investors) and coordinate periodic reporting (quarterly letters, AGM materials, audited financials).
Deal Origination & Execution
Source proprietary and intermediary-led opportunities across priority sectors (e.g., industrials, consumer, healthcare, tech‑enabled services, and adjacent infrastructure).
Oversee commercial, financial, legal, tax, and ESG due diligence; direct valuation and LBO modeling; structure transactions (SPA / SHA, earn‑outs, management incentives).
Optimize acquisition financing (senior, mezzanine, unitranche, Sharia‑compliant instruments) in partnership with DCM and lending relationships; negotiate terms to closing.
Serve as board member / observer for portfolio companies; partner with management on strategy, operational excellence, digital enablement, and bolt‑on M&A.
Drive performance against MOIC / IRR targets; implement incentive plans and succession frameworks; oversee working capital and cash management discipline.
Plan and execute exits (trade sale, IPO on Tadawul / Nomu, secondary / recap), including advisor selection, equity story development, and timeline management.
Risk, Compliance & Governance
Ensure full compliance with CMA Investment Funds and Authorized Persons regulations, AML / CFT, conflicts of interest, valuation, and reporting standards.
Embed robust ESG risk assessment and value creation levers consistent with LP expectations and regional best practice.
People & Culture
Recruit, develop, and lead a high‑performing PE team; set objectives, coach associates / VPs, and foster a collaborative, accountable culture across the firm.
Promote cross‑sell with Investment Banking / DCM and other business lines to unlock integrated client solutions.
Qualifications & Requirements
Professional Experience : 12–18+ years total experience, with 8–12+ years in private equity / principal investing and 5+ years in leadership (team management and IC voting responsibility).
Demonstrable track record of sourcing, executing, and exiting control and / or significant minority investments in KSA / GCC, with realized performance against return targets.
Proven fundraising experience (closed‑end funds, SMAs, and / or programmatic co‑investments) and LP relationship management.
Education : Bachelor’s degree in Finance, Economics, Engineering, Accounting, or related; MBA / Master’s preferred.
Certifications (strong plus) : CFA charterholder and / or CAIA; CME‑1 and CME‑5 (CMA) are strongly preferred. Eligibility for CMA registration in relevant functions is required (or must be obtained pre‑start).
Regulatory & Market Knowledge : Deep understanding of CMA rules, local fund structures (including Sharia‑compliant options), KSA / GCC deal norms, and exit markets (Tadawul / Nomu and cross‑border).
Technical & Functional Skills
Expert in LBO / DCF and operating modeling; scenario and sensitivity analysis; value bridge and KPI design.
Strong command of transaction documentation (SPA, SHA, financing agreements) and negotiation strategy.
Skilled in capital structure optimization and acquisition financing in partnership with lenders / DCM.
Familiar with market data and analytics tools (e.g., Bloomberg, Refinitiv) and portfolio monitoring systems.
Ability to develop compelling equity stories for exits, including board‑level materials and investor communications.
Leadership & Personal Attributes
Strategic owner‑operator mindset with high integrity, judgment, and a bias to action.
Exceptional stakeholder management and communication skills; English fluency required, Arabic highly advantageous.
Team builder who elevates performance, delegates effectively, and sets a high bar for excellence.
Comfortable operating in fast‑moving environments with multiple concurrent workstreams and hard deadlines.
